Terms & Conditions

1. Agreement to These Terms

These Terms & Conditions ("Terms") govern your use of the vantagetrade.us website (the "Site") and the services offered by Vantage Trade ("Vantage Trade", "we", "us"), a product distribution company located at 3093 Broadway, Suite 519, Oakland, California 94611. By accessing the Site or engaging our services, you agree to these Terms. If you do not agree, please do not use the Site.

2. Our Services

Vantage Trade provides product distribution services, including market planning, retail and wholesale placement, logistics and delivery coordination, last-mile support, regional market entry, inventory and replenishment planning, and merchandising support. We distribute both new products and excess inventories on behalf of the brands we work with.

Specific engagements between Vantage Trade and a brand, supplier, retailer, or wholesale partner are governed by a separate written agreement. In the event of a conflict between these Terms and a signed partner agreement, the partner agreement controls for that engagement.

3. Partnership Enquiries

Submitting a partnership enquiry through the Site does not create a distribution agreement, guarantee acceptance, or create any obligation on either party. All information you submit must be accurate and must relate to products you have the legal right to sell and distribute.

4. Online Store

Our e-commerce store is launching soon. When live, purchases will be subject to additional terms of sale presented at checkout, including pricing, shipping, and return policies. Product listings shown on the Site before the store launches are illustrative examples of our range and do not constitute offers to sell.

5. Acceptable Use

  • Do not use the Site in any way that violates applicable laws or regulations.
  • Do not attempt to gain unauthorized access to the Site, its servers, or connected systems.
  • Do not use the Site to transmit spam, malware, or harmful content, including through our contact forms.
  • Do not misrepresent your identity, your company, or your right to distribute any product.

6. Intellectual Property

The Site and its content — including the Vantage Trade name, logo, text, graphics, and layout — are owned by or licensed to Vantage Trade and are protected by intellectual-property laws. You may not reproduce, distribute, or create derivative works from Site content without our prior written consent. Brand names and logos of partners shown on the Site belong to their respective owners.

7. Third-Party Links and Services

The Site may reference or link to third-party websites or services. We are not responsible for their content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

8. Disclaimers

The Site is provided on an "as is" and "as available" basis. While we work to keep information current and accurate, we make no warranties, express or implied, about the completeness, accuracy, reliability, or availability of the Site or its content, including statistics and performance figures presented for illustration. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the fullest extent permitted by law, Vantage Trade shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Site. Our total liability for any claim relating to the Site shall not exceed one hundred US dollars (USD $100). Liability arising under a signed partner agreement is governed by that agreement.

10. Indemnification

You agree to indemnify and hold harmless Vantage Trade and its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the Site.

11. Changes to These Terms

We may update these Terms from time to time. The "Effective date" above reflects the latest revision. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Site shall be resolved in the state or federal courts located in Alameda County, California.
